Article I
Name and Office

Section 1:
The name of this association shall be known as the "Northern Arizona Consolidated Fire District Firefighter's Relief Association".

Section 2:
The principal office for the transaction of the Association shall be located within the County of Mohave, State of Arizona.

Section 3:
Branch or subordinate Offices may, at any time, be established by the Board of Directors at any place, or places, where the association is
qualified to conduct its Business.

Article II
Purpose and Methods

Section 1:
The specific and primary purpose for which the association is formed is: To Encourage cooperation and efficiency among members of the
Association: Provide non-essential support items to its members; Support community outreach and public safety awareness programs;
Oversee the collection of dues or monies by department employees belonging to the association. The expenditures of said monies as
determined by a set quorum of members present at association business meetings.

Section 2:
The methods of attaining the purpose of this Association shall be by meeting and conferring, by petitioning, by negotiation, by information, by
cooperation, by emailing, by legislation, and by any other lawful means.

Article III
Membership

Section 1:
Association Membership shall consist of NACFD1 Employee's that authorize there contribute to the Association on a monthly basis through
the automatic deductions of their bi-weekly pay checks. Administrative employees with membership in the association will pay half that of the
approved rate of then full time employees. Part time, Paid on call, POC employees with membership in the association will pay half that of the
approved rate of the full time employees for pay-periods they have worked.


Section 2:
Members in good standing with the association will be allowed to vote on association business.

Section 3:
All members must be of good moral character. And there shall be no discrimination as to race, creed, sex, or ethnic background.

Section 4:
Executive membership shall consist of all members of the association Board of Directors.

Article IV
Board of Directors

Section 1:
The Board of Directors of this Association shall consist of a President, Vice President, and Secretary/Treasurer.

Section 2:
The Board of Directors shall be elected by a majority vote of the members present, Or by absent-tee ballot as approved by the Board of
Directors. President shall be elected on odd calendar years, Vice President and Secretary/Treasurer shall be elected on even calendar years.
The offset of electing officers by one (1) year will allow for uniformity and continuity of business of the Association and Board Member. All
positions shall hold office for two (2) consecutive years.

Section 3:
Nominations will be held at the end of each elected term during the last meeting of the year before elections. Elections will be held in March at
the first meeting of the election year. Placement into office will take place immediately following the elections. Exiting officers will bring the new
directors up to date on all happenings.

Section 4:
Any member subject to the contents of Article III, in good standing shall be eligible to hold office in the association.

Section 5:
The President, Vice President and Treasurer/Secretary of the Association must have been a NACFD1 Firefighter for a minimum of three (3)
years upon taking office. Provided two (2) or more nominees are eligible to run for office.

Section 6:
A meeting of the Board of Directors will require 51% of the current Board of Directors.

Article V
Voting Power and Representation

Section 1:
All members of the Association in good standing shall be entitled to attend membership business meetings' and shall be entitled to present
documents and resolutions and shall be entitled to the privileges of the floor. They may vote on all subjects and matters coming before the
membership when such a vote is taken via voice, Internet, or by phone.

Section 2:
Unless otherwise stated in the Bylaws or approved by the membership, all items brought before the membership require a simple majority to
approve. Any items pertaining to Article IX Section 2 shall be voted on and given 14 days for Association members to vote, voting timeline may
be extended by Association Board of Directors.

Section 3:
No member of the company shall be represented by proxy.

Section 4:
Amendments to the Bylaws shall be decided by roll call vote of each member in attendance.

Section 5:
The filing of a grievance upon the Association on behalf a member requires the consent of fifty one percent (51%) of the Membership of this
Association, unless the membership has adopted pre-authorized specific grievance procedures for the Board of Directors to follow.

Section 6: At anytime, a Firefighter may terminate his membership, with the association, by sending written notification, which has been signed
by the individual, to the Association President.

Article VI
Duties of the Board of Directors

Section 1:
It shall be the duty of the association president to preside at all meetings of the association, appoint and be ex-officio member of all
committees, and sign all orders upon the Association treasury for payment of money. He/she shall have the power to appoint all committees.
He/she shall discharge on behalf of the association such duties as may be imposed upon him/her by law. The President shall serve on and
appoint three members to the appeal and grievance committee. The President, unless delegated, will be the primary line of communication to
the Department Administration.

Section 2:
The Vice President shall perform the duties of the President in the event of his/her absence and shall perform other such duties as assigned by
the Board of Directors or President.

Section 3:
The secretary shall: (A) Keep the minutes of the Association: (B) See that all notices are duly given in accordance with the provisions of these
Bylaws or as required by Law: (C) Be Custodian of the records: (D) Inform all Members of special meetings and perform other such duties
incidental to the office.

Section 4:
The Treasurer shall keep a financial account of the organization, to receive all money due and sign all checks upon the Treasury; To keep an
accurate account of all receipts and disbursements in a ledger. The Treasurer shall also make a written report of the financial standings of the
organization.

Section 5:
The Members of the organization may be assigned committee duties including but not limited to the following: Safety committee, ways and
means, private enterprise communications, valor awards, Insurance, Bylaw revisions, Training and certification research and development.

Section 6:
The Board will meet and transact Business whenever a majority of the Board of directors or the President notifies each member of the Board
of the Time and place of such meeting. Meetings of the Board shall be held, quarterly, with at least four (4) days notice by email or forty-eight
(48) hours noticed delivered verbally.

Section 7:
The Board shall fill any vacancy that may occur among the Board, with the exception of the President, by appointing a member in good
standing. Vacancies of the President will be filled by a vote of the membership. Vacant positions when filled will only fill the continuation of the
current term.

Section 8:
The Board of Directors shall exercise the powers of and shall administer the business of the Association.

Article VII
All Members

Section 1:
No member of this association shall use or cause to be used his title or name of the Association for or against private commercial purpose or
profit motive of any kind and any member violating this provision will be subject to review by a special committee to be appointed by the
president or by the Board of Directors.


Section 2:
No member shall make remarks of a slanderous nature against any other member during any Association Business meeting.

Article VIII
Meetings - Orders of Business

Section 1:
Membership business will be held no less than three (3) times each year. The number of meetings and meeting locations will be decided by
vote of the membership. Meetings shall generally be held in a central location of the area represented.

5. Treasure's report
6. Payment of Bills
7. Supplies
8. Unfinished Business
9. New business
10. Discussion/Education
11. Committee Reports
12. Adjournment

Section 3:
Meetings shall be called to order by the Presiding Officer.

Section 4:
Speeches shall be limited to three (3) Minutes, but may be extended by the chair.

Article IX

Section 1:
The Donations to this Association will be on a voluntary basis.

Section 2:
Donations shall be used to defray necessary expenditures for the operation of the Association. No expenditure over three hundred dollars
($300.00) shall be made without the approval of the membership present, unless these expenditures fall under pre-authorized approval.

Section 3:
All checks must bear two (2) signatures: Either the President, Vice President, or the Secretary/Treasurer.

Section 4:
The Roberts rules of Order, Revised, shall be the authority on all points not covered by these bylaws.
